1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "you"), and GETHIGH LTD, trading as MyReputify ("Agency", "we", "us", or "our"), concerning your access to and use of our website (https://myreputify.com) and our content creation, editing, paid creative, and social media production services.

2. Services & Scope of Work

MyReputify provides digital content creation, short-form video editing, creative strategy, branded social assets, paid creative variations, and content repurposing services. The specific scope, volume, pricing, and turnaround SLA for each project or retainer will be outlined in a separate Proposal, Statement of Work (SOW), or Service Agreement executed between the Client and GETHIGH LTD.

3. Intellectual Property Rights & Licensing

Unless otherwise agreed in writing:

• Client Materials: The Client retains all ownership rights and intellectual property in all raw video footage, logos, trademarks, and brand collateral provided to MyReputify.
• Final Deliverables: Upon full payment of all applicable invoices, GETHIGH LTD grants the Client an exclusive, worldwide, royalty-free license to use, reproduce, publish, and distribute the final edited video assets and graphics across all digital and marketing channels.
• Portfolio Rights: GETHIGH LTD reserves the right to showcase non-confidential final deliverables and studio concepts in its portfolio, case studies, website, and promotional materials.

4. Payment Terms & Invoicing

Payment terms are specified in your invoice or proposal:

• One-Off Batches: 50% upfront deposit before production commences, with the remaining 50% balance due upon final asset delivery.
• Monthly Retainers: Invoiced monthly in advance and payable within 7 calendar days of invoice issue.
• Late Payments: GETHIGH LTD reserves the right to pause active production or delay final asset delivery if invoices remain unpaid past their due date.

5. Revisions & Approvals

Each content package includes the number of revision rounds specified in the project proposal (typically 1 to 2 rounds of minor editing adjustments). Revisions must be requested within 5 business days of draft delivery. Major structural re-edits or script changes requested after initial brief approval may incur additional studio fees.

6. Limitation of Liability

To the maximum extent permitted by applicable UK law, GETHIGH LTD shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or social platform engagement algorithms. Our total aggregate liability under any claim arising out of these Terms shall not exceed the total fees paid by the Client to GETHIGH LTD in the 3 months preceding the claim.

7. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
